Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between Best CE Tracker, LLC, an Oregon limited liability company (“Best CE Tracker,” “we,” “us”), and you (“you,” “User”). By creating an account or otherwise using bestcetracker.com (the “Service”), you agree to these Terms. If you do not agree, do not use the Service.

1. What the Service is

Best CE Tracker is a personal-productivity tool for licensed mental-health professionals to log continuing-education (CE) activities and view informational dashboards summarizing those activities against the publicly-available CE rules of the licensee’s jurisdiction(s).

The Service is informational. It is not a substitute for the determinations of a licensing board. Compliance reports generated by the Service are best-effort summaries of user-entered data against rule sets maintained by us; they do not constitute legal advice, board certification, or proof of compliance. You are solely responsible for verifying your CE compliance directly with your licensing board.

2. Eligibility and accounts

You must be at least 18 years old and able to enter a binding agreement to use the Service. You are responsible for the accuracy of the information in your account, including your license information and the activities you log. You are responsible for the security of your sign-in email and any device that has an active session.

3. Acceptable use

The Service is a tool for tracking your own continuing-education records. You agree not to:

• Use the Service to harass, threaten, impersonate, defraud, or harm any person, or to send unsolicited or bulk communications.
• Upload, store, or share content that is unlawful or that you do not have the right to store — including sexually explicit material, any content that depicts or facilitates the abuse or exploitation of minors, or other illegal material.
• Upload anything that is not your own continuing-education documentation (certificates, transcripts, and related records), or that includes identifying or clinical information about your clients (names, dates of service, diagnoses, or session notes). The Service is not designed to receive protected health information (PHI), and you should not submit such information.
• Attempt to access another user’s account, data, or the Service’s back-end systems without authorization.
• Reverse engineer, scrape, or rate-abuse the Service, or use automated means to extract data beyond your own.
• Resell, white-label, or redistribute the Service or its rule sets without our prior written consent.

We may, at our discretion and without prior notice, remove content, suspend or terminate accounts, and preserve or disclose information to law enforcement where we believe it is required by law or reasonably necessary to protect people, the public, or the Service. We are required by law to report apparent child sexual abuse material to the National Center for Missing & Exploited Children (NCMEC). Uploaded files are private to your account, but that does not relieve you of responsibility for what you store. Report abuse or content concerns to abuse@bestcetracker.com.

4. Your content

Activities, license details, certificate files, and other content you submit to the Service (“Your Content”) belong to you. By submitting Your Content, you grant Best CE Tracker a limited, non-exclusive, royalty-free license to host, store, and process it solely to operate the Service for you (including running it through reasonable third-party processors as described in the Privacy Policy). We do not claim ownership of Your Content and we do not use it to train AI models.

5. Rule-set content

The continuing-education rule sets (YAML data describing CE requirements per jurisdiction and credential) are our intellectual property and are provided to you under a personal-use license while your account is active. You may not republish or commercially redistribute the rule sets.

6. Payment (when applicable)

Some features of the Service may be made available on a paid basis. Pricing, billing, refund, and cancellation terms applicable to paid plans, if any, will be presented to you at the point of purchase and are incorporated into these Terms by reference. As of the effective date of this version, the Service is provided at no charge to users.

7. Termination and deletion

You may delete your account at any time from your account settings. Deletion soft-deletes your data immediately and permanently purges it after a grace window (currently 30 days). We may suspend or terminate your access without liability if we reasonably believe you have materially violated these Terms or if continued operation would expose us or other users to legal risk.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY DEFECTS, OR THAT ITS COMPLIANCE OUTPUT WILL BE ACCEPTED BY ANY LICENSING BOARD. RULES CHANGE; YOU ARE RESPONSIBLE FOR INDEPENDENTLY VERIFYING YOUR COMPLIANCE.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BEST CE TRACKER, LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR LICENSURE, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.

10. Indemnification

You agree to indemnify and hold harmless Best CE Tracker, LLC and its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable attorney fees) arising out of (a) Your Content, (b) your use of the Service, or (c) your breach of these Terms.

11. Dispute resolution; arbitration and class-action waiver

Please read this section carefully — it affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a “Dispute”) will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, with the arbitration seated in Multnomah County, Oregon, or such other forum as we mutually agree. You and Best CE Tracker each waive any right to a jury trial and to participate in a class, collective, or representative action. Notwithstanding the foregoing, either party may bring an individual claim in small-claims court if it qualifies. If any portion of this section is held unenforceable, the unenforceable portion will be severed and the remainder enforced.

12. Governing law

These Terms are governed by the laws of the State of Oregon, without regard to its conflict-of-laws principles. Subject to the arbitration section above, any court action permitted under these Terms will be brought exclusively in the state or federal courts located in Multnomah County, Oregon, and you consent to personal jurisdiction there.

13. Changes to these Terms

We may modify these Terms from time to time. If a change is material, we will notify users by email or by an in-app notice at least seven days before it takes effect. Your continued use of the Service after the effective date of a change constitutes acceptance of the modified Terms. The current version of these Terms is always available at /terms.
